DYNAMIC STOCK VIDEO CONTENT LICENSE AGREEMENT

This License Agreement (the "Agreement") governs your use of video content licensed from Dynamic Stock Video("Dynamic", "we", "us", or "our") via our website, dynamicstockvideo.com (the “Site”).

By downloading or using any content from Dynamic, you agree to be bound by the terms of this Agreement.

1. DEFINITIONS

a. "Content" means any video footage, clip, or other media licensed from Dynamic Stock Video.
b. "Licensee" means the individual or legal entity purchasing or accessing the Content.
c. "Use" means to copy, reproduce, modify, edit, synchronize, display, broadcast, publish, or otherwise utilize the Content.

2. GRANT OF LICENSE

Subject to payment and compliance with this Agreement, Dynamic grants Licensee a non-exclusive, non-transferable, worldwide, royalty-free license to use the Content in accordance with the terms outlined herein.

You may:

  • Use the Content in films, commercials, television shows, online videos, presentations, and social media.

  • Edit, modify, or combine the Content with other materials.

  • Use the Content in perpetuity (unless otherwise specified).

3. RESTRICTIONS

You may not:

  • Resell, redistribute, share, or sublicense the Content in its original or substantially unaltered form.

  • Use the Content in any trademark, logo, or branding element without explicit written permission.

  • Use the Content in a pornographic, defamatory, misleading, or unlawful manner.

  • Claim authorship or ownership of the Content.

4. OWNERSHIP & INTELLECTUAL PROPERTY

All rights, title, and interest in the Content, including copyright and all associated intellectual property rights, remain the exclusive property of Dynamic Stock Video or its content providers. No rights are granted other than those expressly stated in this Agreement.

5. WARRANTIES AND DISCLAIMERS

Dynamic warrants that it has the right to license the Content under this Agreement.

EXCEPT AS PROVIDED ABOVE, THE CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. DYNAMIC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY

In no event shall Dynamic Stock Video be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Content, even if advised of the possibility of such damages.

Our maximum liability to you under this Agreement shall not exceed the license fee paid for the Content.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Dynamic Stock Video, its affiliates, officers, and contributors against any and all claims, liabilities, losses, or expenses arising from your breach of this Agreement or misuse of the Content.

8. TERMINATION

Dynamic may terminate this Agreement at any time if you breach any term of this Agreement. Upon termination, you must immediately cease all use of the Content and delete all copies in your possession.

9. GOVERNING LAW

This Agreement is governed by and construed in accordance with the laws of the State of [Insert State/Country], without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the courts located in [Insert Jurisdiction].

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Dynamic regarding the licensing of Content and supersedes all prior understandings.
